1. Agreement to Terms

By accessing or using Elysium ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Elysium is a goal and task management application available on macOS and iOS. The Service allows you to:

  • Create and manage goals, tasks, events, and appointments
  • Schedule and organize your activities
  • Collaborate with others on shared goals
  • Track time and analyze productivity
  • Sync data across your devices via cloud storage

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password
  • Accept all responsibility for activity under your account
  • Notify us immediately of any unauthorized use

4. Subscription Plans

Elysium offers multiple subscription tiers:

  • Free: Basic features at no cost
  • Basic: Enhanced features with monthly or annual billing
  • Pro: All features with monthly or annual billing

Subscription fees are billed in advance on a recurring basis (monthly or annually). You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period.

5. Payment Terms

Payment is processed through Stripe (for web purchases) or Apple's App Store (for in-app purchases). By subscribing, you authorize us to charge your payment method for the subscription fees.

  • All fees are in USD unless otherwise stated
  • Prices may change with 30 days notice
  • You are responsible for all taxes
  • No refunds for partial subscription periods, except as provided in our Refund Policy

6. User Content

You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such content solely for the purpose of providing and improving the Service.

You are responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate any third-party rights
  • Your User Content does not contain illegal or harmful material

7. Prohibited Uses

You may not use the Service:

  • For any illegal purpose or in violation of any laws
  • To harass, abuse, or harm another person
  • To impersonate any person or entity
  • To interfere with or disrupt the Service or servers
  • To attempt to gain unauthorized access to any part of the Service
  • To transmit viruses, malware, or other malicious code
  • To spam or send unsolicited communications

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Elysium and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Data Privacy

Our use of your personal data is governed by our Privacy Policy. By using the Service, you consent to our collection and use of personal data as outlined in the Privacy Policy.

10. Data Security and Backups

While we implement reasonable security measures to protect your data, no method of transmission over the Internet is 100% secure. You are responsible for maintaining your own backups of important data.

11. Service Availability

We strive to maintain high availability but do not guarantee that the Service will be uninterrupted or error-free. We reserve the right to:

  • Modify or discontinue the Service with reasonable notice
  • Perform maintenance that may temporarily interrupt service
  • Refuse service to anyone for any reason at any time

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your account at any time by contacting us at support@elysium.is. Upon termination by you, you will not receive a refund for any prepaid subscription fees.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ELYSIUM, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

15. Indemnification

You agree to defend, indemnify, and hold harmless Elysium and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or relating to your use of the Service or violation of these Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

17. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may assert claims in small claims court if your claims qualify.

18. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice before the new terms take effect. By continuing to use the Service after changes become effective, you agree to be bound by the revised terms.

19. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible, and the remaining provisions will continue in full force and effect.
